These Terms & Conditions (“Terms”) govern your access to our website and your use of any products and services provided by TechnerOne, including but not limited to our Cloud PBX platform, hosted telephony, VoIP services, business communication solutions, call management features, and any associated products or professional services.
By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you should not use our website or services.
2. Our Services
TechnerOne provides business communication solutions, including but not limited to:
- • Cloud PBX
- • DID & Multi-channel Numbers
- • Interactive Voice Response (IVR)
- • Call Distribution
- • Call Recording, Statistics & Reporting
- • Missed Call Notifications
- • Business Messaging Integrations
- • SIP Trunk Services (where applicable)
- • Technical Support
Some services may require a separate Service Agreement, Proposal or Quotation.
3. Eligibility
Our services are intended for businesses and organisations. By using our services, you confirm that:
- • You are authorised to enter into agreements on behalf of your organisation.
- • All information supplied is accurate and up to date.
4. Account Registration
You are responsible for:
- • Maintaining the confidentiality of your login credentials
- • Ensuring only authorised users access your account.
- • Notifying TechnerOne immediately if you suspect unauthorised access is mandatory.
TechnerOne shall not be liable for losses resulting from compromised credentials where reasonable security practices have not been followed.

Our Cloud PBX platform may include features such as:

Available functionality may vary depending upon your selected package.
6. Telephone Numbers
Where telephone numbers are provided as part of our Cloud PBX services, they are supplied by authorised third-party telecommunications providers.
Number availability and number porting are subject to the policies and approval of the relevant telecommunications providers. While TechnerOne will assist with the provisioning and porting process, we cannot guarantee the availability of specific numbers or the completion of porting requests within a particular timeframe.
7. Service Availability
We aim to provide highly available services.
However, uninterrupted service cannot be guaranteed.
Service availability may be affected by:
- • Internet connectivity
- • Customer network issues
- • Scheduled maintenance
- • Carrier outages
- • Power failures
- • Force majeure events
- • Third-party infrastructure
Planned maintenance will be communicated where reasonably possible.

Cloud PBX services require a reliable internet connection.
TechnerOne is not responsible for degraded call quality caused by:
- • insufficient bandwidth
- • unstable Wi-Fi
- • local firewall configuration
- • ISP outages
- • customer network equipment
9. Call Quality
Voice quality depends upon several factors outside TechnerOne’s direct control.
Customers are responsible for ensuring suitable internet connectivity and compatible devices.
10. Call Recording
Where call recording is enabled:
- • Recordings are created at the customer’s request.
- • Customers are solely responsible for complying with all applicable laws regarding call recording.
- • Customers must provide any legally required notifications or obtain consent before recording conversations.
11. Call Statistics & Reporting
Our platform may generate reports including:
- • inbound calls
- • outbound calls
- • missed calls
- • answered calls
- • call duration
- • extension activity
These reports are intended for operational purposes and may not constitute legally admissible records.
12. Missed Call Notifications
Delivery of alerts via third-party email or messaging platforms cannot be guaranteed. TechnerOne is not responsible for delayed or failed notifications caused by external providers.
13. Third-Party Integrations
Certain services may integrate with third-party platforms including:
- • CRM Systems
- • SIP Providers
- • Mobile Applications
Such services remain subject to the terms and availability of the respective providers.
14. Customer Responsibilities
Customers agree to:
- • use the services lawfully
- • maintain secure passwords
- • keep software and devices updated
- • protect user credentials
- • ensure authorised use of the platform
- • maintain reliable internet connectivity
- • promptly report faults
15. Acceptable Use
Customers must not use TechnerOne services for:
- • Unlawful activity
- • Spam calling
- • Robocalling without authorisation
- • Fraud
- • Phishing
- • Harassment
- • Abusive communications
- • Transmitting malicious software
- • Violating telecommunications regulations
TechnerOne reserves the right to suspend services immediately where abuse is suspected.
16. Emergency Calling
Cloud PBX services operate over internet connectivity.
Customers acknowledge that emergency calling services may not function during:
- • Power failures
- • Internet outages
- • Equipment failures
- • Carrier interruptions
Customers should maintain alternative methods for contacting emergency services.
17. Billing
Charges are payable according to your agreed billing cycle.
Recurring subscriptions remain active until cancelled in accordance with your agreement.
Late payments may result in:
- • Suspension
- • Service restriction
- • Cancellation
- • Recovery action
18. Suspension
TechnerOne may suspend services where:
- • Invoices remain unpaid
- • Fraud is suspected
- • Telecommunications regulations require suspension
- • These Terms are breached
19. Technical Support
Support is provided according to your purchased support package.
Support does not include:
- • Customer-owned equipment not supplied by TechnerOne
- • Third-party software unrelated to our services
- • Customer network issues outside agreed support scope
20. Intellectual Property
All website content, software, documentation, trademarks, graphics and branding remain the property of TechnerOne or its licensors.
Nothing within these Terms transfers ownership of intellectual property.
21. Data Protection
TechnerOne processes personal information in accordance with applicable data protection legislation and our Privacy Policy.
Customers remain responsible for ensuring that they have lawful authority to process personal data using our services.
22. Limitation of Liability
To the maximum extent permitted by law, TechnerOne shall not be liable for:
- • Indirect loss
- • Loss of profits
- • Business interruption
- • Loss of goodwill
- • Loss of anticipated savings
- • Loss of data
- • Telecommunications carrier failures
- • Internet outages
- • Third-party service interruptions
Our total liability shall not exceed the fees paid by the customer for the affected service during the twelve (12) months preceding the claim.
Nothing in these Terms excludes liability that cannot legally be excluded.
23. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including but not limited to:
- • Natural disasters
- • Acts of government
- • Cyber attacks
- • Labour disputes
- • Internet failures
- • Telecommunications outages
- • Pandemics
- • War
24. Changes to Services
TechnerOne may improve, modify or discontinue features where reasonably necessary.
Where practical, customers will be notified of significant changes.
25. Changes to these Terms
We may revise these Terms from time to time.
Updated versions will be published on our website with a revised "Last Updated" date.
Continued use of our services constitutes acceptance of the revised Terms.
26. Governing Law
These Terms shall be governed by the laws applicable to the jurisdiction specified within the customer's service agreement unless otherwise required by applicable law.
